ON DEMAND: Exempt Organizations Tax Series: Negotiating Mission-Related Business Contracts Between Nonprofits and For-Profits
|

|
Credit: 0 Credit HoursTax-exempt organizations frequently enter into a variety of transactions with for-profit businesses to further their missions. These transactions may include the provision or receipt of services, intellectual property licenses, revenue and cost sharing arrangements, grants, termination rights and complex exchanges of rights and obligations. When contracting with for-profit businesses, tax-exempt organizations must comply with a web of regulatory and IRS Form 990 reporting rules, such as private inurement, private benefit, related party transactions, excess benefit transactions, and self-dealing. Some of these rules are broadly defined and can lead to loss of tax-exempt status, while others are more precisely defined and can lead to specific monetary penalties. Join our expert panel as they discuss some of these tax and legal considerations from a practical planning perspective and what non-tax lawyers should know when they negotiate business contracts with tax-exempt organizations that implicate these issues.
