On January 5, 2023, the Federal Trade Commission (FTC) proposed a far-reaching new rule that would strictly limit the ability of employers to implement or continue to maintain noncompete clauses with their workers, including their senior executives. The proposal has generated a lot of buzz and continues to be hotly debated among practitioners, employers and the public at large.

As the regulatory process rolls forward, the D.C. Bar’s Taxation Community's Employee Benefits Committee is pleased to welcome Cheryl Pinarchick and Michael P. Elkon, both partners at Fisher & Phillips LLP, Laurence Wagman, Founding Principal at Golden Parachute Tax Solutions LLC, and Alex Muller, counsel at Moulton | Moore | Stella LLP to discuss:

  • How non-compete clauses are used in executive compensation arrangements currently;
  • How the FTC’s proposed rule would affect existing executive compensation arrangements;
  • Potential collateral impacts of the proposed rule, including under Section 280G of the Internal Revenue Code; and
  • Key issues and potential legal challenges to watch for as the proposal moves forward.
